Welcome to Moneyvize or moneyvize.com a web application operated by Harmin Software Solutions Inc. ("Company," "we," "our," "us"). These Terms of Service ("Terms") constitute a legally binding agreement governing your access to and use of the Moneyvize website moneyvize.com and any associated services (collectively, the "Service").

These Terms apply to all visitors, users, and others who wish to access or use the Service.

1. Educational Purpose Only

The content provided on the Service, including all information, tools, and features, is strictly for educational and informational purposes. Moneyvize may aggregate and display data from various third-party sources in a manner that may differ from other sites. We make no commitments regarding the minimum amount of uptime our platforms will maintain, although we will make every reasonable attempt to ensure that the platforms are operational. We are not liable to you or anyone else if interference with or damage to your computer systems occurs in connection with the use of Moneyvize or any linked website on our platform. You must take your own precautions to ensure that whatever you select for your use from our platforms is free of viruses or anything else that may interfere with or damage the operations of your computer systems. Users are responsible for securing their own systems and taking precautions against malware or data loss.

We may, from time to time and without notice, change or add to the platforms (including these Terms) or the information, products, or services described in it. We are not liable to you or anyone else if our information is not up to date.

4. AI-Generated Content

Some content on the Service may be generated by artificial intelligence. AI-generated content may contain inaccuracies, biases, or omissions. Users are advised to verify information independently before making any decisions based on such content. We recommend cross-referencing information with multiple reliable sources.

5. User Eligibility

To create an account or use certain features of the Service, you must:

• Be at least 18 years of age and possess the legal right and
• Have the ability to enter into a legally binding agreement with Harmin Software Solutions Inc.
• Not be prohibited from using the Service under any applicable laws.

By using the Service, you represent and warrant that you meet these eligibility requirements.

6. Account Registration and Security

If you create an account, you are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Moneyvize immediately of any unauthorized use of your account or any other breach of security.

6.1. Sign in with Google

Moneyvize uses "Sign in with Google" as the primary method for user account creation and login. By using this feature, you agree to:

• Provide Moneyvize access to your Google account details as permitted under Google's authentication system.
• Maintain the security of your Google account credentials.
• Ensure that your Google account is in good standing and complies with Google's Terms of Service.

6.2. Account Responsibilities

You are responsible for all activities that occur under your account. Moneyvize is not liable for unauthorized access resulting from your failure to maintain security over your Google account. If you suspect unauthorized access, you must notify Moneyvize immediately.

7. Prohibited Activities

Users agree not to engage in any of the following prohibited activities:

• Engage in any activity that could harm the Service, its underlying infrastructure, or its users.
• Use the Service for any unlawful purpose or in any manner that violates applicable local, national, or international laws or regulations.
• Attempt to gain unauthorized access to the Service's systems, networks, or user accounts.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from Harmin Software Solutions Inc.
• Attempt to decompile, reverse-engineer, disassemble, or derive the source code or underlying algorithms of any Moneyvize-provided services, including any artificial intelligence models.
• Use automated tools, scraping software, bots, spiders, or similar methods to extract data or content from the Moneyvize Service, including AI-generated insights, beyond what is explicitly permitted for personal, non-commercial educational use under Clause 9.2.
• Use the Service's AI capabilities or any AI-generated content for illegal, fraudulent, or harmful activities, including but not limited to generating deceptive content for other platforms, creating deepfakes, or engaging in any form of manipulation.
• Frame, mirror, or otherwise incorporate any Moneyvize Content (as defined in Clause 9.1) into another website, application, or platform without prior written authorization.
• Use Moneyvize Content in a way that suggests association, sponsorship, or endorsement by Moneyvize or Harmin Software Solutions Inc. without express permission.

8. Intellectual Property

8.1. Ownership of Service Content

The Service and its original content (excluding content explicitly provided by users, such as Feedback as defined in Clause 21), features, and functionality are and will remain the exclusive property of Harmin Software Solutions Inc. and its licensors. This includes, but is not limited to, text, graphics, logos, images, charts, data visualizations, AI-generated insights, software, and other materials ("Moneyvize Content").

The Service is protected by copyright, trademark, and other intellectual property laws of Canada, the United States, and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Harmin Software Solutions Inc.

8.2. Permitted Uses of Moneyvize Content

Users may:

• Access and use Moneyvize Content for personal, non-commercial educational purposes.
• Share limited excerpts of publicly available Moneyvize Content with proper attribution to Moneyvize, provided such sharing does not exceed fair dealing rights under Canadian copyright law or equivalent fair use doctrines in other jurisdictions.

8.3. Prohibited Uses of Moneyvize Content

Users may not:

• Copy, modify, reproduce, distribute, display, or commercially exploit any Moneyvize Content without prior written permission from Harmin Software Solutions Inc.
• Use automated tools, scraping software, bots, or similar methods to extract data from the Moneyvize Service, except as explicitly permitted by Moneyvize.
• Reverse engineer or attempt to derive the source code of any Moneyvize-provided services.
• Frame, mirror, or otherwise incorporate any Moneyvize Content into another website, application, or platform without authorization.
• Use Moneyvize Content in a way that suggests association, sponsorship, or endorsement without express permission.

9. Copyright Policy

9.1. Respect for Intellectual Property

Moneyvize respects the intellectual property rights of others and expects users to do the same. It is our policy to respond to any claims that content posted on the Service infringes the copyright or other intellectual property rights ("Infringement") of any person or entity in accordance with the Copyright Act of Canada.

If you are a copyright owner or are authorized to act on behalf of one and believe that your copyrighted work has been used in a way that constitutes copyright infringement, you may submit a claim to Moneyvize by sending an email to contactus@moneyvize.com with the subject line: "Copyright Infringement Notice".

9.2. Copyright Infringement Notice Requirements

Your notice must include the following details:

• Identification of the copyrighted work that you claim has been infringed.
• A description of the infringing material and its location on the Moneyvize website (a URL or screenshot is preferred).
• A statement affirming that you are the copyright owner or authorized to act on behalf of the owner.
• Your contact information, including your full name, mailing address, phone number, and email address.
• A declaration that the information in your notice is accurate and that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
• A physical or electronic signature of the copyright owner or authorized representative.

9.3. False or Misleading Claims

Under Canadian law, knowingly making a false or bad-faith copyright infringement claim may result in liability for damages, including court costs and legal fees. Moneyvize reserves the right to pursue legal action against parties who submit fraudulent copyright claims.

9.4. Counter-Notice for Alleged Copyright Infringement

If you believe that your content was wrongfully removed due to a copyright claim, you may submit a counter-notice by providing:

• Identification of the removed content and its prior location.
• A statement under penalty of perjury that you believe the removal was a mistake or misidentification.
• Your contact details.
• Your consent to the jurisdiction of the courts in Ontario, Canada.

Moneyvize may reinstate the removed content if the copyright claimant does not file a legal action within 10 business days of receiving your counter-notice.

9.5. Repeat Infringers

Moneyvize may terminate user accounts of repeat infringers at its discretion.

10. Purchases

Moneyvize is currently free to use. Harmin Software Solutions Inc. may, at its sole discretion, introduce payment for the Service at a later stage.

Harmin Software Solutions Inc. may, at its sole discretion, offer a Subscription or payment service with a free trial for a limited period of time ("Free Trial"). You may be required to enter your billing information in order to sign up for a Free Trial. If you do enter your billing information when signing up for a Free Trial, you will not be charged by Harmin Software Solutions Inc. until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected. At any time and without notice, Harmin Software Solutions Inc. reserves the right to (i) modify the Terms of Service of the Free Trial offer, or (ii) cancel such Free Trial offer.

11. Communications

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at contactus@moneyvize.com.

We may use third-party Service Providers to monitor and analyze the use of our Service / Platform / Website.

You agree to indemnify, defend, and hold harmless Moneyvize and Harmin Software Solutions Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, expenses, and costs, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content you submit, post, or transmit through the Service.

The Service may contain links to third-party websites or services that are not owned or controlled by Moneyvize or Harmin Software Solutions Inc. These links are provided for convenience only and do not signify endorsement by Moneyvize.

Moneyvize has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites. You acknowledge and agree that Harmin Software Solutions Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party web sites or services. We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit.

16. Termination

Moneyvize reserves the right to suspend or terminate your account and access to the Service at its sole discretion, without prior notice or liability, for any reason whatsoever, including but not limited to: (a) your breach of these Terms; (b) conduct that Moneyvize believes is harmful to other users of the Service, Moneyvize, or third parties; or (c) if required by law or regulatory authority.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

17. Advertising

Currently, Moneyvize.com does not utilize user data or cookies for personalized recommendations or targeted advertising. We reserve the right, at our sole discretion, to introduce advertising on Moneyvize.com in the future, which may include displaying non-personalized or personalized advertisements. Should we introduce advertising, we commit to updating these Terms of Service and our Privacy Policy accordingly to reflect such changes, including details on data collection, use, and user choices related to advertising practices. Your continued use of the Service after any such updates will constitute your acceptance of the revised terms regarding advertising.

18. Governing Law and Dispute Resolution

18.1. Governing Law

These Terms shall be governed by and construed in accordance with the federal laws of Canada and the laws of the Province of Ontario, without regard to conflict of law principles.

18.2. Jurisdiction

By using the Service, you agree that any disputes, claims, or legal proceedings arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

However, if required by law, Moneyvize reserves the right to initiate legal action in any jurisdiction where users reside or where their actions have violated these Terms. Please be aware that the recognition and enforcement of judgments and arbitral awards across international borders can be complex and may depend on the domestic laws and treaties of the respective countries involved.

18.3. Alternative Dispute Resolution (ADR)

To ensure efficient and cost-effective resolution of disputes, users agree to resolve any claims through the following process:

Negotiation: Users must first contact Moneyvize at contactus@moneyvize.com, providing a detailed written description of the issue. Moneyvize will attempt to resolve the dispute in good faith within 30 days.

Mediation: If negotiation fails, both parties agree to participate in non-binding mediation administered by a mutually agreed-upon mediator in Ontario, Canada. Mediation costs shall be shared equally between both parties.

Binding Arbitration: If mediation does not resolve the dispute, both parties agree to submit their claim to final and binding arbitration under the Canadian Arbitration Association (CAA). The arbitration shall take place in Ontario, Canada, unless the user requests arbitration in their jurisdiction and Moneyvize, at its sole discretion, agrees. Arbitration will be conducted in English and under the rules of the Canadian Arbitration Association (CAA). The arbitrator's decision shall be final and binding and may be enforced in any court of competent jurisdiction.

18.4. Class Action Waiver

Users agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Moneyvize. All disputes must be resolved on an individual basis.

18.5. Exceptions to Arbitration

Moneyvize may seek injunctive relief, enforcement actions, or legal remedies in a court of competent jurisdiction without first engaging in mediation or arbitration in cases involving:

• Unauthorized access or security breaches.
• Intellectual property violations.
• Fraud or misuse of services.

19. Modifications to Terms

Moneyvize reserves the right to modify these Terms at any time. We will provide notice of any material changes to these Terms by posting the updated Terms on the Service and/or by sending an email notification to the email address associated with your account.

For significant changes that materially alter your rights or obligations, we will require your explicit consent (e.g., via a "clickwrap" agreement) to the updated Terms before you can continue to use the Service. Your continued use of the Service after the effective date of any non-material changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

20. Waiver and Severability

No waiver by Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

21. Error Reporting and Feedback

You may provide us feedback either directly on Moneyvize through our feedback page, by writing an email to contactus@moneyvize.com, or via third-party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service ("Feedback").

You acknowledge and agree that:

• You shall not retain, acquire, or assert any intellectual property right or other right, title, or interest in or to the Feedback.
• Company may have development ideas similar to the Feedback.
• Feedback does not contain confidential information or proprietary information from you or any third party.
• Company is not under any obligation of confidentiality with respect to the Feedback.
• In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited, and perpetual right to use (including copy, modify, create derivative works, publish, distribute, and commercialize) Feedback in any manner and for any purpose.
